1. About ProPath

ProPath provides technology and information services intended to help people discover, evaluate, compare, and interact with businesses and locations. Depending on the product and stage of development, ProPath may provide a website, mobile application, business listings, location information, user-submitted information, notifications, analytics, partner programs, and related services.

Features may change as ProPath develops. A description of a planned, experimental, beta, or early-access feature does not guarantee that the feature will be released or remain available.

2. Eligibility and Accounts

You must provide information that is accurate and current when ProPath requires information to provide a service. You are responsible for activity conducted through credentials or accounts under your control and for maintaining the confidentiality of any account credentials.

ProPath may limit or refuse access where necessary to protect the service, users, businesses, partners, or the integrity of ProPath systems.

The ProPath app uses email sign-in with a one-time code; no password is required. You must be at least 13 years old to create an account. You can delete your account at any time in the app or by emailing hello@pro-path.app, as described in the Privacy Policy.

3. Acceptable Use

You may use ProPath only for lawful purposes and in accordance with these Terms. You may not:

• Use ProPath to violate applicable law, regulation, or the rights of another person or business.
• Attempt to gain unauthorized access to ProPath systems, accounts, APIs, data, or infrastructure.
• Interfere with, disrupt, overload, probe, scan, or circumvent security or access controls.
• Use automated means to scrape, harvest, copy, or systematically extract information except where ProPath expressly permits it.
• Submit malicious code, spam, phishing content, fraudulent information, or other harmful material.
• Impersonate another person, business, or organization.
• Use ProPath information to facilitate unlawful discrimination, fraud, harassment, or other unlawful conduct.

4. Business, Location, and User-Submitted Information

ProPath may display information about businesses, locations, services, prices, availability, operating status, amenities, and other attributes. Some information may be supplied by businesses, users, public sources, data providers, or other third parties.

If you submit information, you represent that you have the right to provide it and that it is not knowingly false, misleading, unlawful, or infringing. You grant ProPath the rights reasonably necessary to store, process, display, review, improve, and operate the applicable ProPath service using that submission.

ProPath may review, correct, restrict, remove, or decline to publish submitted information at its discretion, particularly where information is inaccurate, unsafe, duplicative, unsupported, or inconsistent with ProPath's policies.

Content rules: zero tolerance

ProPath has zero tolerance for objectionable content and abusive users. You may not submit prices, photos, notes, or reports that are knowingly false, misleading, or manipulative; obscene, sexually explicit, violent, hateful, harassing, threatening, or defamatory; that show people, faces, license plates, or other personal information; that infringe another person's rights; or that are spam or advertising.

Reporting and hiding content

Anyone can report a price, photo, or incorrect station information in the app. Signed-in users can also hide all reports submitted by a specific person. ProPath reviews reports within 24 hours and removes content that violates these Terms.

Enforcement

ProPath may remove content that violates these Terms without notice, and may suspend or permanently remove users who submit objectionable content or repeatedly submit false information.

5. Information Accuracy and Third-Party Information

ProPath works to provide useful and current information, but business and location information can change without notice. ProPath does not guarantee that every listing, price, operating status, location, route, map result, review, availability indicator, or other data is complete, current, or error-free.

Information displayed by ProPath should not be treated as a guarantee by the business described. When a decision depends on current availability, pricing, operating status, directions, safety, or another time-sensitive fact, verify the information directly with the relevant business or provider.

6. Communications and Early Access

When you voluntarily provide contact information or request information from ProPath, ProPath may use that information to respond to your request, provide service-related communications, administer an account or program, or communicate about a feature or service you have requested.

Early Access, beta, pilot, research, and similar programs may have additional instructions or eligibility requirements. Participation does not guarantee access to any particular feature, launch date, pricing, benefit, or commercial offering.

7. Subscriptions, Founding Partner, and Paid Services

Some ProPath products, programs, memberships, listings, advertising services, or other features may be offered for a fee. Any applicable price, billing period, benefits, eligibility requirements, and special conditions will be presented in the applicable offer, order flow, agreement, or program terms.

ProPath may offer limited-time, introductory, beta, founding, partner, or other special programs. Participation in one program does not create a permanent right to that program, its pricing, its benefits, or future enrollment unless the applicable written agreement expressly provides otherwise.

Where a separate written agreement applies to a specific ProPath program, that agreement controls to the extent it conflicts with these general Terms for that program.

8. Payments, Billing, Cancellation, and Refunds

Where payment is required, you agree to provide accurate billing information and authorize the applicable payment provider to process charges that you have authorized.

Billing timing, renewal, cancellation, refunds, credits, and payment authorization terms may vary by product or program and will be disclosed in the applicable offer or agreement. If a separate agreement specifies those terms, the separate agreement controls for that transaction.

ProPath does not require you to provide payment-card information through ordinary contact forms. Payment processing, when offered, may be handled by a third-party payment processor under its own terms and privacy practices.

9. Third-Party Services and Links

ProPath may use or integrate with third-party services for functions such as hosting, databases, maps and location services, analytics, security, email, messaging, app distribution, payments, communications, and other infrastructure. Third-party services are subject to their own terms and policies.

ProPath may also provide links to third-party websites, applications, businesses, or services. ProPath does not control and is not responsible for third-party content, availability, security, privacy practices, pricing, or performance.

10. Service Availability and Changes

ProPath may modify, suspend, discontinue, restrict, or replace any feature or service at any time, including during development, beta, or early-access periods. ProPath may perform maintenance or experience outages, including outages caused by third-party infrastructure.

ProPath does not guarantee uninterrupted, error-free, or continuously available access to every service or feature.

11. Intellectual Property

ProPath and its licensors retain all rights in ProPath software, branding, logos, designs, interfaces, original content, documentation, and other proprietary materials, except for content owned by users or third parties.

Subject to these Terms, ProPath grants you a limited, non-exclusive, non-transferable, revocable right to use the applicable ProPath service for its intended purpose. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from ProPath materials except as permitted by law or with ProPath's written permission.

12. Feedback and Suggestions

If you voluntarily provide suggestions, ideas, feedback, or other comments about ProPath, you grant ProPath permission to use and incorporate that feedback without restriction or compensation, provided ProPath does not use your personal information in a manner inconsistent with its Privacy Policy.

13. Privacy

ProPath's collection and use of personal information are described in the ProPath Privacy Policy. The Privacy Policy is incorporated into these Terms by reference for purposes of explaining ProPath's data practices.

The Privacy Policy may be updated independently when necessary to reflect changes in ProPath's services, data practices, legal requirements, or third-party providers.

14. Disclaimers

To the maximum extent permitted by applicable law, ProPath services and information are provided on an “as is” and “as available” basis. ProPath disclaims warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation, except where such disclaimers are not permitted by law.

ProPath is not a substitute for professional, emergency, legal, medical, financial, safety, or other specialized advice. Location, navigation, business, pricing, availability, and other information should be independently verified when circumstances require current or authoritative information.

15. Limitation of Liability

To the maximum extent permitted by applicable law, ProPath and its owners, employees, contractors, affiliates, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, arising from or related to your use of or inability to use ProPath.

To the maximum extent permitted by applicable law, the aggregate liability of ProPath for claims arising from or related to a ProPath service will be limited to the greater of the amount you paid ProPath for the applicable service during the twelve months preceding the event giving rise to the claim or $100, except where a different limitation is required by applicable law or a separate written agreement.

16. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless ProPath and its owners, employees, contractors, affiliates, service providers, and licensors from claims, liabilities, damages, losses, and expenses arising from your unlawful use of the service, your violation of these Terms, or your infringement of another person's or business's rights.

17. Suspension and Termination

ProPath may suspend or terminate access to a service when reasonably necessary to protect users, businesses, systems, partners, or the integrity of the service; to address violations of these Terms; or when the applicable service is discontinued.

Provisions that by their nature should survive termination—including intellectual property, disclaimers, limitations of liability, indemnification, dispute provisions, and other accrued rights and obligations—will survive termination.

18. Governing Law and Disputes

These Terms are governed by the laws applicable to ProPath's principal place of business, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.

Before filing a formal legal claim, the parties should make a good-faith effort to resolve the issue by contacting ProPath at hello@pro-path.app and describing the issue and requested resolution.

Nothing in these Terms is intended to waive rights or remedies that cannot lawfully be waived.

19. Changes to These Terms

ProPath may update these Terms as services, technology, legal requirements, or business practices change. When changes are material, ProPath may provide notice through the website, application, account, or another reasonable method. The updated Terms will be effective when posted unless a different effective date is stated.

Your continued use of ProPath after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
